Terms of Service

These Terms of Service ("Terms") govern your access to and use of Hive (the "Services"), a software interface for matching and executing DeFi lending positions on the Solana blockchain, operated by Hive Labs Technologies Inc. ("Hive Labs," "we," "us," or "our").

By accessing or using the Services, you ("you" or "User") agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Definitions

"Services" means the Hive software interface, including the website at askthehive.ai, the matching engine, transaction-building functionality, the user dashboard, and any related tools or features made available by Hive Labs.
"Protocol" or "Protocols" means third-party DeFi lending and routing protocols with which the Services interact, including without limitation Kamino, Jupiter, Save, Loopscale, and marginfi.
"Wallet" means a self-custodial digital wallet compatible with the Solana blockchain, such as Phantom or Backpack.
"Match Result" means the deterministic output returned by the Hive matching engine based on parameters you provide.
"$BUZZ" means the cryptocurrency token of the same name associated with the Hive community.

2. Eligibility

To use the Services, you must:

(a) Be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater;

(b) Have the legal capacity to enter into binding contracts;

(c) Not be a resident of, located in, or organized under the laws of any jurisdiction subject to comprehensive economic sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, the United Kingdom, or any other applicable governmental authority, including without limitation Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine;

(d) Not appear on any sanctions list, including the OFAC Specially Designated Nationals and Blocked Persons List;

(e) Not access the Services from any jurisdiction in which DeFi services are prohibited or restricted by law.

You are solely responsible for ensuring that your use of the Services is legal in your jurisdiction. If the Services are not available in your jurisdiction, you must not use them.

3. Nature of the Services

3.1 Matching Engine — Not Investment Advice

The Services constitute a software-based matching engine. The Services accept parameters that you provide (including risk tolerance, timeline, and capital amount) and return deterministic Match Results consisting of pools that satisfy your parameters. The Services do not select pools, protocols, or strategies on your behalf.

You acknowledge and agree that:

(a) The Services do not provide investment advice, recommendations, or solicitations of any kind;

(b) The Services do not offer financial planning, brokerage, asset management, or any fiduciary service;

(d) Outputs of the Services are deterministic results of the parameters you provide and are not personalized recommendations or solicitations;

(e) The match criteria displayed by the Services explain which of your parameters each pool satisfied — they are informational only and do not constitute a recommendation, rationale, or endorsement;

(f) You are the decision-maker. You set the parameters, you authorize each transaction by signing it with your Wallet, and you bear the consequences of those decisions;

(g) You should consult qualified financial, tax, and legal professionals before making any decision involving digital assets.

3.2 Non-Custodial

The Services are non-custodial. Hive Labs does not, at any time, have custody, possession, or control of your digital assets, private keys, seed phrases, or Wallets. You retain complete control of your Wallet and are solely responsible for the security of your private keys and seed phrases.

Every transaction initiated through the Services requires your Wallet signature. Without your signature, no transaction can be executed. Hive Labs cannot move, freeze, recover, or reverse your assets under any circumstances.

3.3 Third-Party Protocols

The Services interact with third-party Protocols. When you use the Services to deposit assets, your transaction is routed directly to the relevant Protocol's smart contracts. Hive Labs does not operate, control, audit, or maintain any Protocol.

You acknowledge and agree that:

(a) Each Protocol has its own terms of service, risks, audits, governance, and operational characteristics;

(b) Hive Labs makes no representations or warranties regarding any Protocol's safety, performance, solvency, or compliance;

(c) Hive Labs is not responsible for losses, exploits, governance failures, downtime, smart contract vulnerabilities, or any other issues arising from any Protocol;

(d) Data displayed in the Services regarding any Protocol (including APY, TVL, utilization, audit status, and pool composition) is sourced from the Protocols and from third-party data providers and may be inaccurate, incomplete, or outdated;

(e) Your use of any Protocol is independently subject to that Protocol's own terms and conditions, which you are responsible for reviewing.

3.4 No Hive Smart Contracts

Hive Labs does not deploy or operate any smart contracts. The Services build standard Solana transactions that interact directly with audited Protocol contracts. There is no "Hive contract" sitting between you and the Protocols. If the Services become unavailable, your funds remain accessible through each Protocol's own interface.

3.5 Early Release

The Services are provided in early release form. You acknowledge that the Services may contain bugs, errors, or incomplete features and may be modified, suspended, or discontinued at any time. Use of the Services in their early release form is at your own risk.

4. User Responsibilities

You are solely responsible for:

(a) The security of your Wallet, private keys, seed phrases, and any device used to access the Services;

(b) The parameters you set within the Services;

(d) The transactions you authorize and the consequences of those transactions;

(e) Determining whether any allocation is appropriate for your financial situation, risk tolerance, and objectives;

(f) Complying with all applicable laws in your jurisdiction, including securities, tax, anti-money laundering, and sanctions laws;

(g) Reporting and paying any taxes owed on interest, gains, or losses generated through use of the Services.

Hive Labs does not provide tax reporting tools. You are responsible for tracking your own activity and consulting a qualified tax professional.

5. Fees

5.1 Current Fee Structure

As of the effective date of these Terms, Hive Labs does not charge any platform fees for use of the Services. You remain responsible for:

(a) Standard Solana network transaction fees;

(b) Any fees charged by third-party Protocols, including without limitation swap fees through Jupiter (typically 0.1–0.3%);

5.2 Future Fees

Hive Labs reserves the right to introduce platform fees at any time, including without limitation performance fees on interest generated, transaction fees, subscription fees, or other fee structures. Any new fees will be disclosed through the Services and reflected in updated Terms before implementation. All fees applicable to a given transaction will be displayed in the Services before you confirm that transaction.

6. $BUZZ Token

$BUZZ is a memecoin associated with the Hive community. You acknowledge and agree that:

(a) $BUZZ is not a feature of the Services and is not required to access or use the Services;

(b) $BUZZ confers no rights, returns, dividends, profit-sharing, governance rights, voting rights, or other benefits within the Services;

(c) Holding $BUZZ does not constitute an investment in Hive Labs, the Services, or any related entity, project, or instrument;

(d) Hive Labs makes no representations or warranties regarding the value, liquidity, supply, distribution, or future price of $BUZZ;

(e) The market value of $BUZZ is determined entirely by independent market activity and is not controlled, supported, guaranteed, or stabilized by Hive Labs;

(f) $BUZZ is not a security, investment contract, or financial instrument, and no profit expectation should be derived from its acquisition, holding, or transfer.

You acquire, hold, transfer, and dispose of $BUZZ entirely at your own risk. Hive Labs is not responsible for any losses associated with $BUZZ.

7. Privacy and Data

Use of the Services involves the collection and processing of certain data. Third-party providers used by the Services include:

Privy — wallet authentication;
PostHog — anonymized product analytics;
Helius — Solana RPC infrastructure;
DeFiLlama — Protocol data feeds.

8. Prohibited Activities

You agree not to:

(a) Violate any applicable law, regulation, or third-party rights;

(b) Use the Services in any jurisdiction where they are prohibited or restricted;

(d) Attempt to gain unauthorized access to the Services, related systems, or other Users' Wallets;

(e) Interfere with, disrupt, or compromise the integrity of the Services or any Protocol;

(f) Reverse engineer, decompile, disassemble, or attempt to extract source code from the Services, except as permitted by applicable law;

(g) Use bots, scrapers, or automated systems to access the Services in a manner that exceeds reasonable usage or violates these Terms;

(h) Use the Services to evade economic sanctions or any other applicable legal restriction;

(i) Misrepresent your identity, eligibility, or jurisdiction;

(j) Use the Services for any purpose that is unlawful or prohibited by these Terms.

9. Intellectual Property

The Services, including all software, content, designs, trademarks, logos, and other materials, are owned by Hive Labs or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose, subject to these Terms.

You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Services without our prior written consent.

10. Disclaimers of Warranty

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

Without limiting the foregoing, Hive Labs makes no warranties or representations that:

(a) The Services will be uninterrupted, timely, error-free, or secure;

(b) APY rates, pool data, or other information displayed in the Services will be accurate, current, or complete;

(d) Any Protocol will perform as expected or will not experience exploits, failures, or losses;

(e) Stablecoins or other digital assets will maintain their peg or value;

(f) The Services will be available, accessible, or legal in your jurisdiction.

11. Assumption of Risk

By using the Services, you acknowledge and accept the risks inherent in DeFi, including without limitation:

Smart contract risk: Protocol smart contracts may contain vulnerabilities that result in partial or total loss of deposited assets;
Market risk: APY, token prices, and asset values may fluctuate, including to zero;
Liquidity risk: You may be unable to withdraw assets immediately during periods of high Protocol utilization;
Slippage risk: Token swap prices may differ from quoted prices;
Stablecoin depeg risk: Stablecoins may temporarily or permanently lose their peg, reducing the value of your position;
Regulatory risk: Changes in law, regulation, or enforcement may affect the legality or availability of the Services or any Protocol;
Wallet risk: Loss of your private keys or seed phrase will result in permanent loss of access to your funds;
Network risk: The Solana blockchain may experience congestion, downtime, or fee spikes;
Tax risk: Interest, gains, or losses generated through the Services may create tax obligations in your jurisdiction;
Total loss: You may lose all of the assets you deploy through the Services.

You acknowledge that interest rates and APY are variable and not guaranteed. Past performance is not indicative of future results. Deposits in DeFi Protocols are not insured by any government agency or by Hive Labs.

You should only deposit funds you can afford to lose.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HIVE LABS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, OR DIGITAL ASSETS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE LEGAL THEORY ASSERTED.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU HAVE PAID TO HIVE LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00 USD).

THESE LIMITATIONS APPLY EVEN IF HIVE LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow the limitation or exclusion of certain damages. To the extent such limitations are not permitted, our liability is limited to the smallest extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Hive Labs, its affiliates, officers, directors, employees, contractors, and agents from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

(a) Your use of the Services;

(b) Your violation of these Terms;

(d) Your violation of any third-party rights;

(e) Any transaction you authorize through the Services;

(f) Any inaccurate or misleading representations you make to Hive Labs.

14. Modifications to the Services

Hive Labs reserves the right to modify, suspend, or discontinue the Services, in whole or in part, at any time, with or without notice. Hive Labs is not liable for any modification, suspension, or discontinuation of the Services. Because the Services are non-custodial, any such change does not affect your ability to access funds previously deposited in Protocols, which remain accessible through each Protocol's own interface.

15. Modifications to Terms

Hive Labs may update these Terms from time to time. Material changes will be communicated by posting an updated version with a new effective date through the Services. Your continued use of the Services after such changes become effective constitutes your acceptance of the updated Terms.

16. Termination

We may suspend or terminate your access to the Services at any time, for any reason, without liability. The non-custodial nature of the Services means that termination of your access to the Services does not affect your funds, which remain accessible through each Protocol's own interface or any compatible Solana wallet.

17. Dispute Resolution

17.1 Informal Resolution

Before initiating arbitration, you agree to attempt to resolve any dispute by contacting us at legal@askthehive.ai. We will attempt to resolve the dispute informally within sixty (60) days.

17.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally shall be resolved through binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures in effect at the time of the dispute. The arbitration shall be conducted in Wilmington, Delaware, in the English language, before a single arbitrator. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

17.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING.

17.4 Jury Trial Waiver

YOU WAIVE ANY RIGHT TO A JURY TRIAL.

18. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

19. General Provisions

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly referenced, constitute the entire agreement between you and Hive Labs regarding the Services and supersede any prior agreements.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

19.3 No Waiver

Hive Labs's failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

19.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms at any time without notice.

19.5 Force Majeure

Hive Labs shall not be liable for any failure or delay in performance arising from circumstances beyond our reasonable control, including without limitation acts of God, war, terrorism, pandemic, network outages, blockchain disruptions, exchange failures, regulatory actions, or governmental orders.

19.6 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Hive Labs.

19.7 Notices

Notices to you may be provided through the Services or by any other reasonable means. Notices to Hive Labs must be sent to legal@askthehive.ai.

19.8 Survival

Sections 3 (Nature of the Services), 4 (User Responsibilities), 6 ($BUZZ Token), 10 (Disclaimers of Warranty), 11 (Assumption of Risk), 12 (Limitation of Liability), 13 (Indemnification), 17 (Dispute Resolution), 18 (Governing Law), and 19 (General Provisions) survive termination of these Terms.
